Terms of Service

Welcome to 21Spades (“21Spades,” “Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the 21Spades website, applications, tools, smart contracts, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must:

  • Be at least 18 years old (or legal age in your jurisdiction)
  • Have legal capacity to enter into a binding agreement
  • Not be in a sanctioned jurisdiction or on any prohibited list
  • Comply with all applicable laws and regulations

We reserve the right to restrict or terminate access at our discretion.

2. Nature of the Platform

21Spades is:

  • A digital marketplace and community platform
  • A hosting layer for tokenized drops (“D-Drops”)
  • An interface to blockchain networks and third-party DeFi protocols
  • A facilitator of digital asset interaction

21Spades is not:

  • A broker, dealer, investment advisor, or financial institution
  • A custodian of user funds (unless explicitly stated)
  • An issuer of securities
  • A gambling operator (where applicable law restricts such classification)

Users are solely responsible for evaluating risks of digital asset transactions.

3. User Accounts

To access certain features, you may:

  • Connect a compatible blockchain wallet
  • Create a user account
  • Complete identity verification (if required)

You are solely responsible for:

  • Maintaining security of your wallet and credentials
  • All activities conducted under your account
  • Any blockchain transactions initiated from your wallet

21Spades cannot recover lost private keys.

4. Digital Assets & Blockchain Transactions

Transactions conducted via blockchain:

  • Are irreversible
  • May incur gas/network fees
  • Are subject to network congestion and volatility

21Spades does not:

  • Control blockchain networks
  • Guarantee transaction finality timing
  • Guarantee asset value or liquidity

You acknowledge that digital assets are highly volatile and may lose all value.

5. D-Drops

D-Drops are limited-entry digital participation campaigns. By entering a D-Drop, you acknowledge:

  • Entry does not guarantee winning
  • Terms of each D-Drop may vary
  • Prizes may be digital or physical
  • Eligibility restrictions may apply

21Spades reserves the right to:

  • Modify or cancel D-Drops
  • Disqualify fraudulent entries
  • Refuse participation in restricted jurisdictions

Where required by law, additional rules and disclosures will apply. Users are responsible for understanding the local legality of participation.

6. Community Spaces

21Spades allows users and admins to create community spaces. Community administrators are responsible for:

  • Content moderation within their communities
  • Ensuring compliance with applicable laws
  • Not misrepresenting 21Spades

21Spades may remove content or communities at its discretion. We are not responsible for user-generated content.

7. Third-Party Services

The Platform may provide interfaces to third-party services such as decentralized exchanges, lending protocols, and fiat-to-crypto onramps. 21Spades:

  • Does not control third-party protocols
  • Is not responsible for smart contract vulnerabilities
  • Makes no guarantees regarding performance, security, or legality

Use of third-party services is at your own risk and subject to their terms.

8. Fees

Fees will be disclosed prior to transaction confirmation. All blockchain gas fees are the responsibility of the user. Fees are non-refundable unless required by law.

9. Intellectual Property

All Platform content, including:

  • Logos
  • Branding
  • Software
  • Smart contract architecture
  • Marketplace design

Is owned by or licensed to 21Spades. You may not:

  • Copy
  • Reverse engineer
  • Commercially exploit
  • Reproduce platform elements

Without written consent. Users retain ownership of their own digital assets unless otherwise specified.

10. Prohibited Activities

You may not:

  • Use the platform for illegal activities
  • Engage in wash trading or market manipulation
  • Upload malicious code
  • Circumvent fees
  • Attempt to exploit smart contracts
  • Misrepresent D-Drops as investment opportunities

Violations may result in suspension or permanent ban.

11. Risk Disclosure

Digital assets involve substantial risk. You acknowledge:

  • Price volatility
  • Regulatory uncertainty
  • Smart contract risks
  • Counterparty risk
  • Potential total loss of funds

21Spades does not provide investment advice. Nothing on the Platform constitutes financial, legal, or tax advice.

12. No Investment or Securities Offering

Nothing on 21Spades constitutes:

  • An offer to sell securities
  • A solicitation to invest
  • An investment contract

Participation in D-Drops or acquisition of digital assets does not create ownership in 21Spades unless explicitly stated.

13. Taxes

You are solely responsible for:

  • Determining tax obligations
  • Reporting taxable events
  • Paying applicable taxes

21Spades does not provide tax advice.

14. Termination

We may suspend or terminate access:

  • For violation of Terms
  • For regulatory compliance
  • At our discretion

Upon termination:

  • Access may be revoked
  • Certain data may be retained for compliance purposes

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” 21Spades makes no warranties regarding:

  • Continuous availability
  • Error-free operation
  • Asset value
  • Third-party protocol security

We disclaim all implied warranties to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, 21Spades shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Loss of digital assets
  • Smart contract failures
  • Third-party protocol losses

Total liability shall not exceed fees paid to 21Spades in the preceding 12 months.

17. Indemnification

You agree to indemnify and hold harmless 21Spades from:

  • Claims arising from your use of the Platform
  • Regulatory violations
  • Intellectual property infringement
  • Misrepresentation of D-Drops

18. Regulatory Changes

21Spades may modify Services or restrict access in response to evolving regulatory requirements. Users acknowledge that digital asset regulation is evolving.

19. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of State or Local Jurisdiction, Disputes shall be resolved via:

  • Binding arbitration
  • or
  • Courts to located within in each jurisdiction

Class action waivers may apply.

20. Modifications

We may update these Terms at any time. Continued use constitutes acceptance of revised Terms.
